Nuphos is a product of ZEABUR, INC. ("Zeabur", "Nuphos", "we", "us", or "our"). These Terms of Service ("Terms") govern your access to and use of the Nuphos platform, websites, applications, agents, APIs, and related services (collectively, the "Service").

Summary

This summary is provided to help you understand these Terms quickly. It is not a substitute for the full Terms below, and the full Terms control.

Nuphos provides a workspace in which AI agents can observe, investigate, and operate cloud infrastructure that you connect and control.

You decide what agents can do. Agents act within the permissions, approval requirements, and access scopes that you configure. You are responsible for those settings and for the actions you authorize.

Agent outputs and suggested actions may contain errors. They require your judgment and, where you choose, your approval. The Service does not guarantee that any action or recommendation is correct or safe.

You retain ownership of your data, including your infrastructure information, configurations, logs, and operational history. We use it only to provide and secure the Service for you.

You must have the right to connect any infrastructure, account, or credentials you provide, and to authorize the actions agents perform.

The Service is provided "as is", and during Beta / Early Access it may change, be interrupted, or be discontinued.

We may send you communications related to the Service.

We will try to notify you of material changes to these Terms.

If you use the Service, you agree to these Terms. If you do not agree, you may not use the Service.

1. Introduction

Thank you for choosing Nuphos. Please read the following to understand the rules and restrictions that apply to your use of the Service. If you have any questions, comments, or concerns, contact us at contact@zeabur.com.

These Terms are a binding agreement between you and ZEABUR, INC. ("Zeabur", "Nuphos", "we", "us", "our", or the "Company"). By using the Service in any way, you agree to be bound by all of these Terms, and they remain in effect for as long as you use the Service. These Terms include the provisions in this document as well as those in our Privacy Policy. Your use of, or participation in, certain features of the Service may also be subject to additional policies, rules, or terms ("Additional Terms"), which are incorporated by reference, and you agree to be bound by such Additional Terms when you use those features.

Please read these Terms carefully. They cover important information about the Service we provide, including fees, taxes, and charges that may apply. These Terms include information about future changes to these Terms, automatic renewals, limitations of liability, a class-action waiver, and resolution of disputes by arbitration instead of in court.

Arbitration Notice and Class Action Waiver

Except for certain types of disputes described in the arbitration section below, you agree that disputes will be resolved by binding individual arbitration, and you waive your right to participate in a class action or class-wide arbitration.

2. Changes to These Terms

We are continually improving the Service, so these Terms may need to change. We reserve the right to change the Terms at any time. If we do, we will post a notice on our website and notify you by email or another reasonable means.

If you do not agree to the new Terms, you may reject them; however, that means you will no longer be able to use the Service. If you use the Service in any way after the new Terms take effect, that means you agree to all of the changes.

Except for changes described here, no amendment or modification of these Terms will be effective unless made in writing and signed by both you and us.

3. Privacy Policy

Zeabur places the privacy and data security of its users first. Please review our Privacy Policy to understand how we collect, use, and protect your information when you use Nuphos. Where Nuphos processes data on your behalf as part of providing the Service to a business customer, that processing is also governed by our Data Processing Addendum, where applicable.

4. Eligibility and Accounts

To use the Service, you may need to register an account and provide certain information, such as your work email and organization. You agree to provide accurate, complete, and current registration information, and to keep it updated.

You represent that you are of legal age to form a binding contract and, if you are entering into these Terms on behalf of an organization or entity, that you have the authority to bind that organization or entity to these Terms. In that case, "you" and "your" refer to that organization or entity.

You may access certain features of the Service using credentials from third-party services (each, a "Third-Party Account"), such as GitHub, GitLab, Google, or your cloud providers. By doing so, you permit us to access certain information from those accounts as necessary to provide the Service. You control how much information is shared and may adjust the privacy and permission settings of your Third-Party Accounts.

You are responsible for safeguarding your account credentials and for all activity that occurs under your account. You must not share your credentials, and you must notify us promptly of any unauthorized use or suspected security breach.

5. The Nuphos Service: Agents and Automated Actions

This Section governs the core function of Nuphos: enabling AI agents to observe, investigate, and operate infrastructure that you connect. Please read it carefully, as it allocates responsibility for actions taken through the Service.

5.1 Nature of the Service

Nuphos provides a workspace in which AI agents can inspect resources, read logs and metrics, open dashboards, build operational memory, generate plans, request approval, and—where you permit—take actions on the infrastructure you connect (each, an "Agent Action"). Agents operate on the cloud environments, clusters, and systems that you choose to connect ("Connected Infrastructure").

5.2 You Control Permissions and Approvals

The Service is designed to keep you in control. You are solely responsible for configuring:

(a) the identity and access management ("IAM") roles, scopes, and credentials granted to agents, including whether access is read-only, scoped, temporary, or broader;

(b) which Agent Actions require human approval, and who may grant that approval;

(c) any change windows, guardrails, or conditions you apply; and

(d) whether you enable any autonomous, pre-approved, or unattended Agent Actions.

You acknowledge that the scope of what an agent can do is determined by the permissions and settings you configure. Granting broader permissions or enabling pre-approved or autonomous actions increases the potential impact of Agent Actions, and you accept the risks associated with the permissions and approvals you choose to configure.

5.3 Agent Outputs Require Your Judgment

Agent outputs, investigations, plans, and recommendations are generated using automated systems and large language models. They may be incomplete, inaccurate, or unsuitable for your particular environment. They are provided to assist you and do not constitute professional, operational, or security advice. You are responsible for reviewing Agent Actions and outputs and for exercising your own judgment before relying on them or authorizing them.

5.4 Responsibility for Authorized Actions

To the maximum extent permitted by law, you are responsible for the outcomes of Agent Actions that are taken within the permissions, approvals, and configurations you have established—whether those actions were individually approved by you, pre-approved, or performed autonomously pursuant to settings you enabled. The Service executes Agent Actions on your behalf and at your direction; it does not independently warrant that any Agent Action will achieve an intended result or will not cause disruption, data loss, downtime, or cost.

5.5 Audit and Logging

The Service provides audit logs and records of Agent Actions to support transparency and review. You are responsible for monitoring these logs and for promptly reporting any unexpected or unauthorized activity to us. Audit logs are provided as a feature of the Service and do not transfer responsibility for authorized actions to us.

5.6 Backups and Resilience

You should maintain independent backups, recovery procedures, and safeguards for your Connected Infrastructure. You agree not to rely on the Service as your sole safeguard against data loss, misconfiguration, or operational failure.

6. Connected Infrastructure and Credentials

When you connect infrastructure, accounts, or credentials to Nuphos, you represent and warrant that:

(a) you own or are authorized to connect that infrastructure and to grant the access you provide;

(b) you are authorized to permit agents to perform Agent Actions on that infrastructure; and

(c) doing so does not violate any agreement, policy, or law applicable to you or to the underlying cloud provider.

You remain bound by the terms and acceptable use policies of your own cloud providers (such as AWS, Google Cloud, Microsoft Azure, or Cloudflare). Nothing in the Service relieves you of those obligations, and you are responsible for ensuring that Agent Actions comply with them.

We handle the credentials and access you provide in accordance with our Privacy Policy and our security practices. Where supported, we encourage the use of scoped, temporary, or least-privilege access.

7. Communications

As part of the Service, you may receive communications from us, including messages sent by email. When you register, you will receive a welcome message and instructions on how to manage or stop certain communications. Some communications are necessary to operate the Service and cannot be opted out of while you maintain an account.

8. Acceptable Use

8.1 General Restrictions

You agree that you will not provide or contribute anything, including any content, or otherwise use or interact with the Service, in a manner that:

infringes or violates anyone's intellectual property rights or any other rights (including Zeabur's);

violates any law or regulation, including any applicable export control, sanctions, or privacy laws;

is dangerous, harmful, fraudulent, deceptive, threatening, harassing, defamatory, obscene, or otherwise objectionable;

jeopardizes the security of your account or anyone else's (for example, by allowing someone else to log in as you);

attempts to obtain the password, account, or other security information of any other user;

violates the security of any computer network, or cracks any passwords or security encryption codes;

runs any process that interferes with the proper working of the Service or places an unreasonable load on its infrastructure;

"crawls", "scrapes", or "spiders" any part of the Service through manual or automated means other than through interfaces and rate limits we provide;

copies or stores any significant portion of the Service's content; or

decompiles, reverse engineers, or otherwise attempts to obtain the source code or underlying logic of the Service.

8.2 Restrictions Specific to Agents and Infrastructure

Because the Service can operate infrastructure, you additionally agree that you will not use the Service, or direct or configure agents, to:

access, operate, or interfere with any system, network, account, or infrastructure that you are not authorized to access or operate;

perform any action that you know or should reasonably know would violate the law, the acceptable use policy of any cloud provider or upstream supplier, or the rights of any third party;

develop, deploy, or operate malware, attack tooling, unauthorized cryptocurrency mining, or any service designed to circumvent security or access controls;

exfiltrate, expose, or misuse credentials, secrets, or data belonging to any third party; or

attempt to use agents to evade the permissions, approvals, audit, or guardrail mechanisms of the Service.

Any of the above is grounds for suspension or termination of your access to the Service.

9. Intellectual Property and Service Content

The Service, including all software, interfaces, text, graphics, data, and other materials we provide (collectively, "Service Content"), is owned by Zeabur and is protected by copyright, trademark, and other intellectual property laws. We grant you a limited, non-exclusive, non-sublicensable, non-transferable license to use the Service Content solely for the purpose of using the Service in accordance with these Terms. Except as expressly permitted, you may not use, copy, modify, distribute, or store any Service Content without our prior written permission. You acknowledge that Zeabur owns the Service.

10. Your Data and License

10.1 Ownership of Your Data

As between you and us, you retain all right, title, and interest in and to the data and content you provide to, or that the Service collects from your Connected Infrastructure on your behalf, including your infrastructure metadata, configurations, logs, metrics, operational history, and agent memory derived from your environment (collectively, "Customer Data"). We do not claim ownership of Customer Data.

10.2 License to Operate the Service

You grant us a limited, non-exclusive, worldwide, royalty-free license to host, copy, process, transmit, display, and use Customer Data solely as necessary to provide, maintain, secure, troubleshoot, and support the Service for you, and as otherwise described in our Privacy Policy or any applicable Data Processing Addendum. This license exists only for as long as needed to provide the Service and to comply with our legal obligations.

10.3 Service Improvement

We may generate aggregated and de-identified data from use of the Service and use it to operate, analyze, and improve the Service, provided that such data does not identify you, your organization, or your Connected Infrastructure. Where you are a business customer subject to a separate agreement or Data Processing Addendum, the terms of that agreement govern any use of Customer Data for improvement purposes and control in the event of a conflict.

10.4 Feedback

If you provide suggestions, ideas, or feedback about the Service ("Feedback"), you grant us a perpetual, irrevocable, royalty-free, worldwide license to use that Feedback for any purpose, including to improve the Service, without obligation to you. Feedback is not Customer Data.

11. Copyright Disputes (DMCA)

Under the Digital Millennium Copyright Act (DMCA), we reserve the right to (1) block access to or remove material that we believe in good faith to be infringing, and (2) remove and terminate the accounts of repeat infringers.

11.1 Reporting Infringement

If you believe that material on the Service infringes your copyright (or a copyright you are authorized to act on behalf of), please send a notice to us at contact@zeabur.com that includes:

a physical or electronic signature of a person authorized to act on behalf of the copyright owner;

identification of the copyrighted work claimed to have been infringed;

identification of the allegedly infringing material and information reasonably sufficient to allow us to locate it;

your contact information, including address, telephone number, and email;

a statement that you have a good-faith belief that the use is not authorized by the copyright owner, its agent, or the law; and

a statement, under penalty of perjury, that the information in the notice is accurate and that you are authorized to act on behalf of the copyright owner.

11.2 Counter-Notice

If you believe your material was removed in error, you may send a counter-notice containing the information required under the DMCA. Upon receipt of a valid counter-notice, we may restore the material within 10–14 business days unless the original complainant first seeks a court order.

12. Responsibility for Content and Third Parties

Any information or content made available through the Service is the sole responsibility of the party from whom it originated, and you access it at your own risk. We are not responsible for any errors or omissions in such information or content.

The Service may link to or interoperate with third-party websites, services, or infrastructure (including your cloud providers) that are not owned or controlled by Zeabur. When you use a third-party service, you accept the associated risks, and Zeabur is not responsible for the content, accuracy, privacy policies, or practices of any third party. We encourage you to review the terms and privacy policies of every third-party service you use.

Your interactions and transactions with any third party found through or connected to the Service are solely between you and that third party. You agree that Zeabur is not liable for any loss or damage arising from such interactions or transactions.

13. Service Changes and Beta / Early Access

We are continually improving the Service, so it may change over time. We may suspend or discontinue any part of the Service, introduce new features, or impose limits, and we will try to notify you of material adverse changes when practicable.

Beta and Early Access. Some or all of the Service may be offered as a beta, preview, or early-access release ("Beta Service"). Beta Service is provided for evaluation, may be incomplete or unstable, may change or be discontinued at any time, and is not subject to any service-level commitment. You should not rely on Beta Service for critical operations without appropriate safeguards. We may collect feedback and usage information from Beta Service to improve the Service, in accordance with our Privacy Policy.

14. Payment

If and when we offer paid features of the Service ("Paid Services"), the following applies. We will notify you before any Service you are using begins to incur charges, and if you wish to continue using such Service you must pay all applicable fees.

We use a third-party payment processor to bill you through the payment account you link to your billing account. We currently use Stripe; Stripe's processing is subject to its own terms and privacy policy (Stripe Services Agreement; Stripe Privacy Policy). By using Paid Services, you authorize us, through our payment processor, to charge your selected payment method for all applicable fees at the then-current rates.

You must provide current, complete, and accurate billing information and keep it updated. Certain Paid Services may include recurring charges; by selecting a recurring plan, you accept responsibility for all recurring charges until you cancel. Unless otherwise stated, paid subscriptions renew automatically at the then-current non-promotional rate unless you cancel before the renewal date. Except as required by law or expressly stated, fees already paid are non-refundable.

15. Term and Termination

You may stop using the Service at any time by contacting us at contact@zeabur.com or, where available, through your account settings.

Zeabur may terminate or suspend your access to the Service or your account at its discretion, including for any violation of these Terms. Zeabur alone has the right to decide whether you have violated any of the restrictions in these Terms.

Termination may result in the deletion of content associated with your account. Upon termination, you should disconnect any Connected Infrastructure and revoke any access you granted to the Service. Provisions that by their nature should survive termination will survive, including obligations to pay, limitations of liability, ownership and intellectual property provisions, confidentiality, and dispute provisions (including the arbitration agreement).

16. Confidentiality

In connection with the Service, each party may disclose to the other non-public information that is designated as confidential or that should reasonably be understood to be confidential ("Confidential Information"). This includes, on our side, non-public aspects of the Service, and, on your side, your Customer Data and Connected Infrastructure information. Each party agrees to use the other's Confidential Information only as necessary to exercise its rights and perform its obligations under these Terms, and to protect it using at least reasonable care. Confidential Information does not include information that is or becomes public through no fault of the receiving party, was already known to the receiving party, or is independently developed. This Section does not limit our processing of Customer Data as described in these Terms and the Privacy Policy.

17. Disclaimers

THE SERVICE AND ALL SERVICE CONTENT ARE PROVIDED "AS IS" AND "AS AVAILABLE", WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT, AND ANY WARRANTY THAT USE OF THE SERVICE WILL BE UNINTERRUPTED OR ERROR-FREE.

WITHOUT LIMITING THE FOREGOING, ZEABUR AND ITS LICENSORS, SUPPLIERS, AND PARTNERS MAKE NO WARRANTY THAT ANY AGENT ACTION, OUTPUT, PLAN, OR RECOMMENDATION GENERATED THROUGH THE SERVICE WILL BE ACCURATE, COMPLETE, RELIABLE, SAFE, OR FREE FROM ERROR, OR THAT IT WILL ACHIEVE ANY PARTICULAR RESULT OR AVOID DISRUPTION, DOWNTIME, DATA LOSS, OR COST. YOU ARE RESPONSIBLE FOR REVIEWING AND AUTHORIZING AGENT ACTIONS AS DESCRIBED IN SECTION 5.

18. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, AND UNDER ANY LEGAL THEORY (INCLUDING NEGLIGENCE, CONTRACT, STRICT LIABILITY, OR OTHERWISE), ZEABUR AND ITS LICENSORS, SUPPLIERS, AND PARTNERS WILL NOT BE LIABLE TO YOU OR ANY THIRD PARTY FOR:

(A) ANY INDIRECT, SPECIAL, INCIDENTAL, PUNITIVE, OR CONSEQUENTIAL DAMAGES, INCLUDING DAMAGES FOR LOST PROFITS, BUSINESS INTERRUPTION, LOSS OF DATA, LOSS OF GOODWILL, WORK STOPPAGE, OR COMPUTER FAILURE OR MALFUNCTION;

(B) ANY SUBSTITUTE GOODS, SERVICES, OR TECHNOLOGY;

(C) ANY AMOUNTS IN THE AGGREGATE EXCEEDING THE GREATER OF (I) ONE HUNDRED U.S. DOLLARS ($100) OR (II) THE AMOUNTS PAID BY YOU TO ZEABUR IN CONNECTION WITH THE SERVICE IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO LIABILITY; OR

(D) ANY MATTER BEYOND OUR REASONABLE CONTROL.

SOME JURISDICTIONS DO NOT ALLOW CERTAIN LIMITATIONS, SO SOME OF THE ABOVE MAY NOT APPLY TO YOU.

19. Indemnification

To the maximum extent permitted by applicable law, you agree to indemnify and hold harmless Zeabur and its licensors, suppliers, and partners, and their respective officers, directors, employees, and agents, from any and all claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or in any way connected with (a) your use of the Service, including any Agent Action taken within the permissions or approvals you configured and any action taken by a third party using your account; (b) any infrastructure, account, or credentials you connected to the Service; and (c) your violation of these Terms. We will attempt to provide notice of any such claim, though failure to do so will not reduce your indemnification obligations.

20. Dispute Resolution and Arbitration

Except for disputes that qualify for small-claims court or that involve injunctive relief for intellectual property infringement, you and Zeabur agree to resolve any dispute arising out of or relating to these Terms or the Service through binding individual arbitration administered by the American Arbitration Association under its then-current rules, seated in Delaware, United States, unless a separate written agreement between you and Zeabur states otherwise. You and Zeabur waive any right to a jury trial and to participate in a class action or class-wide arbitration.

21. Assignment

You may not assign, delegate, or transfer these Terms or your rights or obligations under them, or your account, without Zeabur's prior written consent. We may assign or transfer these Terms and our rights and obligations without consent.

22. Miscellaneous

You are responsible for paying, withholding, filing, and reporting all taxes, duties, and other governmental assessments associated with your use of the Service, excluding taxes based on our net income. The failure of either party to exercise any right will not be deemed a waiver of any further right. If any provision of these Terms is held unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will remain in full force and effect.

These Terms, together with any Additional Terms and any applicable Data Processing Addendum, are the complete and exclusive agreement between you and Zeabur regarding the Service and supersede all prior agreements and understandings. You acknowledge that you are not an employee, agent, partner, or joint venturer of Zeabur, and you have no authority to bind Zeabur. Except as expressly stated, there are no third-party beneficiaries to these Terms.

Governing Law. These Terms are governed by the laws of the State of Delaware, United States, without regard to its conflict-of-laws principles, unless a separate written agreement between you and Zeabur states otherwise.
